Founded in 1981, Halcyon Event-Driven Management LP (HEDM) is a registered investment advisor and hedge fund manager located in New York City. Halcyon Capital Management LP is the sole limited partner of HEDM, and its general partner is Halcyon Event-Driven Management GP LLC.

Fifth Street Management LLC is a registered investment advisor located in Greenwich, Connecticut. In 2014, Fifth Street Asset Management Inc. ("FSAM") completed its initial public offering of common stock (NASDAQ:FSAM). As part of the restructuring in connection with the IPO, FSAM became the general partner of Fifth Street Holdings LP ("Holdings”) and the proceeds of the IPO were used to repurchase interests in Holdings from certain minority holders. Fifth Street is wholly-owned by Holdings, and FSAM holds a minority interest in Holdings. The majority of interests in Holdings is held by employees of affiliates of Fifth Street, including Leonard M. Tannenbaum.
