Docdata commerce, payments en fulfilment hebben een omzetstijging gerealiseerd van EUR 4,6 miljoen, IAI industrial systems een omzetstijging van EUR 1,6 miljoen en Docdata media een omzetdaling van EUR 7,0 miljoen (waarvan EUR 4,8 miljoen als gevolg van de verkochte media activiteiten van Docdata media in het Verenigd Koninkrijk en de verkoop van 4D upgrade GmbH in Duitsland). In het eerste halfjaar 2009 is een hogere brutowinst behaald van EUR 10,8 miljoen ten opzichte van EUR 9,4 miljoen in het eerste halfjaar 2008 (+14%). De brutowinstmarge over het eerste halfjaar 2009 is uitgekomen op bijna 31% ten opzichte van 26% in het eerste halfjaar 2008; beide 'lines of business' hebben aan deze verbeterde brutowinstmarge bijgedragen. In het eerste halfjaar 2009 is een bedrijfsresultaat voor financieringsresultaat (EBIT) gerealiseerd van EUR 2,4 miljoen. De stijging met EUR 1 miljoen ten opzichte van het eerste halfjaar 2008 is voor het grootste gedeelte gerealiseerd door IAI industrial systems. Dit is met name het gevolg van een groter aantal systemen dat in het eerste halfjaar 2009 is afgeleverd, terwijl gedurende het eerste halfjaar 2008 geen systemen zijn uitgeleverd. In aanvulling op het bedrijfsresultaat is het financieringsresultaat in het eerste halfjaar 2009 met EUR 0,3 miljoen verbeterd ten opzichte van het eerste halfjaar 2008, voornamelijk als gevolg van per saldo lagere rentelasten en een verbetering in het valutakoersresultaat. Verder zijn de belastingen met EUR 0,5 miljoen gestegen in het eerste halfjaar 2009 als gevolg van een hogere winst voor belastingen. Dit alles heeft geresulteerd in een winst die EUR 0,8 miljoen hoger is dan in het eerste halfjaar 2008. DOCDATA N.V. heeft haar sterke financiële positie met een solvabiliteitsratio van 55,6% (31 december 2008: 51,8%) gehandhaafd. In relatie tot de liquiditeit van de onderneming is het kasoverschot van EUR 4,4 miljoen per 31 december 2008 met EUR 3,5 miljoen is afgenomen tot EUR 0,9 miljoen per 30 juni 2009. DOCDATA N.V. heeft in het eerste halfjaar 2009 een cash flow uit operationele activiteiten van EUR 0,2 miljoen gerealiseerd. De aanwending van dit totaal van EUR 3,7 miljoen aan middelen in het eerste halfjaar 2009 blijkt eveneens uit het kasstroomoverzicht; de belangrijkste elementen zijn de uitkering van dividend over het jaar 2008 aan de aandeelhouders (EUR 2,0 miljoen), de investeringen in materiële en immateriële vaste activa (EUR 1,2 miljoen) en de acquisitie van (minderheidsbelangen in) dochterondernemingen en investeringen in geassocieerde deelnemingen en overige beleggingen (EUR 0,6 miljoen). Internet service bedrijf Docdata realiseerde in het eerste halfjaar 2009 een sterke stijging van het aantal unieke transacties ten opzichte van het eerste halfjaar 2008. Elke transactie draagt bij aan het succes van onze klanten. Wij bieden klantspecifieke of volledige internet oplossingen. In de Benelux worden wij gezien als het meest vooruitstrevende internet service bedrijf waarbij wij mede het geheim achter het succes van onze klanten mogen zijn. In Duitsland en het Verenigd Koninkrijk hebben wij deze positie nog niet maar zullen daar in de komende jaren hard aan werken. Doelstellingen voor 2009 en 2010 zijn: 1. Service Excellence; 2. Groei van het aantal transacties; 3. Ontwikkelen van nieuwe services. Naast de geografische focus blijven wij investeren in nieuwe services voor onze klanten. Als voorbeeld van een nieuwe service bieden wij onze e-commerce klanten sinds kort een volledig geïntegreerde oplossing voor webfotografie aan. Middels deze service zijn onze klanten in staat om binnen 24 uur artikelen in hun webshop te presenteren en dus te verkopen. Om dit proces zo efficiënt mogelijk te laten verlopen wordt deze service in-house in onze fulfilment centra aangeboden. Een belangrijke trend is dat meer mensen frequenter online bestellen. Wij hebben de indruk dat deze trend wordt versterkt door de huidige economische recessie, waardoor wij ook de komende maanden een verdere groei verwachten. Wel zien wij dat het gemiddelde bedrag per bestelling afneemt; het aantal transacties blijft echter stijgen. De huidige risico's liggen voornamelijk op het vlak van de financiële positie van onze klanten en de strategische keuze van (potentiële) klanten om bepaalde diensten bij externe leveranciers af te nemen. Vaak worden deze beslissingen bij overnames heroverwogen. Wij verwachten dat één van onze klanten in het buitenland hierdoor het distributiecontract in 2010 niet zal verlengen. Tevens zien wij dat acquisitietrajecten veel langer duren door de huidige economische crisis. Klanten hebben duidelijk meer tijd nodig om deze beslissingen te nemen. Technologiebedrijf IAI industrial systems wordt in de markt voor documentbeveiliging van door overheden uitgegeven waardedocumenten steeds meer gezien als de meest hoogwaardige leverancier van productiesystemen om documenten te personaliseren en/of te beveiligen. In de markt voor documentbeveiliging is IAI industrial systems erin geslaagd om uitstekende resultaten te behalen. IAI industrial systems heeft een orderboek per het eind van het eerste halfjaar 2009 ter waarde van EUR 24,3 miljoen (31 december 2008: EUR 10,8 miljoen). Wij verwachten daarom ook in het tweede halfjaar 2009 verder te kunnen groeien. Doelstellingen voor 2009 en 2010 zijn: 1. Tijdige aflevering van systemen; 2. Realiseren van nieuwe orders; 3. Wereldwijd zien wij dat vele landen voor paspoorten vasthouden aan de papieren houderpagina. Voor dit omvangrijke marktsegment heeft IAI industrial systems nu BM One systemen ontwikkeld die de persoonlijke data aanbrengen door middel van inktjet printing, gevolgd door het aanbrengen van een beschermend kunststof laminaat op de houderpagina. Hoewel dergelijke systemen geen lasergraveer-functie bevatten, kunnen, afhankelijk van de klantenwens, wel de ImagePerf(R) en/of NumberPerf(R) laser-funties aanwezig zijn. Met de ontwikkeling van deze BM One systemen heeft IAI industrial systems een groot marktsegment binnen de ons bekende documentbeveiligingsmarkt betreden. Systemen met deze nieuwe technologie werden inmiddels verkocht en gedeeltelijk geleverd aan een aantal landen, waaronder Roemenië en Algerije. Een andere nieuwe ontwikkeling betreft de SheetMaster en WebMaster systemen die documenten gedrukt in vellen ('sheets') of in baan ('web') kunnen bewerken. Het betreft hier een grote variëteit aan documenten die bewerkt kunnen worden waarbij vooral gericht wordt op: geboortebewijzen, kentekenbewijzen, diploma's, paspoortpagina's, documenten waarmee directe belastingen geheven worden, etc. Van enige standaardisatie van dergelijke documenten is vooralsnog geen sprake. Genoemde systemen zijn daarom voorzien van vele instelmogelijkheden om een zo groot mogelijk deel van deze markt te kunnen bedienen. Ook hier betreedt IAI industrial systems een nieuw segment in een bekende markt. Deze systemen werden inmiddels verkocht en gedeeltelijk reeds geleverd aan een aantal landen, waaronder Zuid-Afrika en India. Voor de recent verworven order uit Bulgarije ontwikkelt IAI industrial systems momenteel nieuwe systemen voor de markt van decentrale personalisatie. Daarvoor wordt technologie uit hooggeïntegreerde systemen, zoals de BM One, beschikbaar gemaakt in kleine stand alone oplossingen. IAI industrial systems betreedt ook hiermee een nieuwe markt. Bovenstaande voorbeelden illustreren de aanzienlijke uitbreiding van het productenpakket van IAI industrial systems voor de documentbeveiligingsmarkt. IAI industrial systems heeft in het eerste halfjaar 2009 stevig verder gebouwd aan het netwerk in de solar industrie. In deze markt biedt IAI industrial systems productiesystemen voor zonnecellen of -panelen aan. Grote opdrachten bleken echter steeds uitgesteld te worden als gevolg van de kredietcrisis, waardoor potentiële afnemers de aankoop van hun nieuwe productiesystemen uitstellen totdat zij meer zekerheid hebben over hun financiering. IAI industrial systems is ervan overtuigd dat de solarmarkt opnieuw een groeimarkt zal worden zodra de middelen voor investeringen weer ter beschikking staan. Fundamenteel is er immers niets veranderd in deze markt. Gebaseerd op deze overtuiging gaat IAI industrial systems dan ook door met het opbouwen van een netwerk zodat wij daarvan na de kredietcrisis de vruchten kunnen plukken. De groeiplannen van IAI industrial systems hebben er inmiddels toe geleid dat het personeelsbestand in 2009 aanzienlijk gegroeid is. Daarnaast biedt IAI industrial systems ook veel werk aan tijdelijke krachten en maakt veel gebruik van uitbesteding. Vooruitzichten In 2009 zal de focus liggen op autonome winstgevende groei. De focus van internet service bedrijf Docdata is enerzijds gelegen op de verdere ontwikkeling van het internet service model in Duitsland en het Verenigd Koninkrijk. De doelstelling is om in de komende jaren ook daar een top 5 speler te worden. Anderzijds is de focus gelegen op het toevoegen van nieuwe services, in de eerste instantie in de Benelux. In 2009 verwachten wij ondanks de economische marktsituatie verder te groeien, met uitzondering van Docdata media. In de markt voor documentbeveiliging heeft technologiebedrijf IAI industrial systems in de eerste 6 maanden van 2009 niet alleen uitstekende resultaten behaald, ook de orderportefeuille voor 2009 en 2010 is reeds goed gevuld. De focus ligt enerzijds op de tijdige aflevering van bestelde systemen en anderzijds op de ontwikkeling van nieuwe marktgebieden middels unieke oplossingen. In de solar markt verwachten wij geen noemenswaardige omzet in 2009. Waarderingsgrondslagen DOCDATA N.V. stelt de geconsolideerde jaarrekening op volgens de International Financial Reporting Standards zoals aanvaard binnen de Europese Unie (hierna genoemd IFRS). The operating profit of Docdata commerce, payments and fulfilment in the first half-year 2009 amounts to EUR 1.5 million compared to EUR 1.0 million in the first half-year 2008 and is the result of more transactions and efficiency improvements. In the first half-year 2008 the Docdata media companies contributed EUR 0.3 million to the operating profit, while this decreased to almost nil in the first half-year 2009. - Operating profit of IAI industrial systems increased EUR 0.8 million in the first half-year year ended 30 June 2009 compared to the half-year ended 30 June 2008. This increase is the combined effect of increased gross profit with EUR 1.0 million and increased selling and administrative expenses with EUR 0.2 million in the first half-year 2009. The increase in operating profit margin in the first half-year 2009 is the result of the sale of a higher number of security systems which have a relative high profit margin compared to other revenue categories. The selling and administrative expenses increased with EUR 0.2 million (29%) due to higher personnel costs as a result of the expansion in number of employees. This enables IAI industrial systems to realise further growth, as well as their entry in the solar market. Net financing income / (expenses) Net financing income for the half-year ended 30 June 2009 amounted to nearly EUR 0.2 million compared to net financing expenses of EUR 0.1 million for the half-year ended 30 June 2008. As a consequence of the sale on 30 January 2009 of the UK media business and tangible fixed assets to Sound Performance Manufacturing Ltd., no deferred tax assets on the remaining net operating losses and capital allowances of docdata media Ltd. have been recognised in the consolidated balance sheets at 31 December 2008 and at 30 June 2009. - In Germany, a tax charge has been recorded at a corporate income tax rate of in general around 30.0% on taxable income for the German entities, taking into account lower income tax rates for some regions in Germany when and where applicable. Liquidity and capital resources The General Annual Meeting of Shareholders held on 13 May 2009 approved the proposal to distribute a dividend of EUR 0.30 per ordinary share outstanding (excluding own shares held by the Company), which had a decreasing impact of EUR 2.0 million on retained earnings within the equity of the Company in the half-year ended 30 June 2009. In the half-year ended 30 June 2009, the Group's net cash position has decreased with EUR 3.5 million to EUR 0.9 million from EUR 4.4 million at 31 December 2008. Net cash from operating activities amounted to EUR 0.2 million for the half-year ended 30 June 2009 (half-year ended 30 June 2008: EUR 1.0 million). These total available funds of EUR 3.7 million were for a large part spent on the EUR 2.0 million dividend payment. The consolidated interim financial statements of DOCDATA N.V. as at and for the half-year ended 30 June 2009 comprise DOCDATA N.V. and its subsidiaries (together referred to as the "Group") and the Group's interest in associates and jointly controlled entities. Starting the financial year 2008, DOCDATA identifies for the purpose of preparing financial statements the following two lines of business: Internet service company Docdata (consisting of the following four services: Docdata commerce, Docdata payments, Docdata fulfilment and Docdata media) and Technology company IAI industrial systems. The segmentation for both comparable financial statements for the half-year ended 30 June 2008 and the half-year ended 30 June 2009 has been prepared accordingly and in a consistent way. 6.7 Consolidation In the consolidated financial statements for the half-year ended 30 June 2009, the following treatment has been applied for the following incorporation and acquisition: - IAI industrial systems GmbH: per 12 January 2009, IAI industrial systems B.V. has incorporated a new legal entity for its Germany subsidiary, IAI industrial systems GmbH in Berlin. The balance sheet and income statement of IAI industrial systems GmbH have been included in the DOCDATA consolidation starting per the date of incorporation; - Pegasus Mail GmbH: on 9 January 2009, docdata e-business GmbH has acquired all issued shares of Pegasus Mail GmbH in Münster (Germany). This company operates fulfilment services related to print and mail. The balance sheet and income statement of Pegasus Mail GmbH have been included in the DOCDATA consolidation starting per the acquisition date. In the consolidated financial statements for the year ended 31 December 2008, the following treatment has been applied for the acquisitions and divestments mentioned: - docdata media Ltd.: on 30 January 2009 docdata media Ltd., a part of the docdata media division, has sold its complete business activities for CD and DVD replication and Audio Cassette manufacturing to Sound Performance Manufacturing Ltd., a subsidiary of the UK based Sound Performance Ltd. This transaction includes the sale by docdata media Ltd. as per the transaction date of 30th of January 2009 of its business activities, tangible fixed assets, stocks, customer contracts, trade creditors, personnel and staff.
