New Horizons doet bod op DPA gestand; transactie kan nu succesvol worden afgerond

Dit is een gezamenlijk persbericht van DPA Group N.V. ("DPA") en New Horizons Holding B.V. (de "Bieder") ingevolge het bepaalde in artikel 16 lid 1 en 2 en artikel 17 lid 1 van het Besluit openbare biedingen Wft (het "Besluit") in verband met het aanbevolen openbare bod door de Bieder op alle geplaatste en uitstaande gewone aandelen in het kapitaal van DPA Group N.V. (de "Aandelen") (het "Bod"). De Bieder komt na afwikkeling van het Bod (indirect) onder zeggenschap te staan van Gilde Equity Management (GEM) Benelux Partners B.V. ("Gilde"), TBL Investments B.V. ("TBL") en een stichting ten behoeve van de beoogde (indirecte) deelname van bepaalde leden van

het management van DPA in de Bieder (de "STAK"), onder de voorwaarde dat afwikkeling van het Bod heeft plaatsgevonden.1Deze aankondiging vormt geen bod, of een uitnodiging tot het doen van een bod, tot het kopen van of inschrijven op effecten. Elk bod wordt uitsluitend gedaan aan de hand van het door de Autoriteit Financiële Markten goedgekeurde biedingsbericht van 1 juni 2021 (het "Biedingsbericht"). Deze aankondiging is niet bestemd voor vrijgave, publicatie of distributie, noch geheel of gedeeltelijk, direct of indirect, in of naar een rechtsgebied waar een dergelijke vrijgave, publicatie of distributie onwettig zou zijn.

Houten/Bussum, 29 juli 2021

  • 73,3% van de Aandelen is aangeboden onder het Bod.
  • Inclusief 18,5% van de Aandelen die reeds door de Bieder worden gehouden, vertegenwoordigt dit in totaal 91,8% van de Aandelen.
  • Aan alle Biedingsvoorwaarden is voldaan of daarvan is afgezien.
  • De afwikkeling vindt plaats op 30 juli 2021.
  • Resterende Aandelen kunnen worden aangemeld gedurende de na-aanmeldingstermijn, die op 30 juli 2021 om 9.00 uur aanvangt en eindigt op 13 augustus 2021 om 17.40 uur.

Onder verwijzing naar de gezamenlijke persberichten van 1 maart en 1 juni 2021 en het Biedingsbericht, hebben New Horizons Holding B.V. (de Bieder) en DPA hierbij het genoegen te kunnen meedelen dat de Bieder zijn Bod gestand doet. De Bieder en DPA zijn voornemens de notering van de Aandelen op Euronext Amsterdam zo spoedig mogelijk te beeindigen en verwachten dat de transactie in het derde kwartaal van 2021 zal kunnen worden afgerond.

Aanvaarding

Tijdens de Biedingsperiode, die om 17.40 uur op 28 juli 2021 geeindigd is, zijn 34.412.141 Aandelen aangemeld onder het Bod, of circa 73,3% van de Aandelen. Inclusief 8.684.505 Aandelen die per de datum van dit persbericht reeds door de Bieder worden gehouden, vertegenwoordigt dit in totaal 43.096.646 Aandelen, of 91,8% van de Aandelen. Dit betekent dat aan alle in het Biedingsbericht omschreven Biedingsvoorwaarden is voldaan of dat daarvan is afgezien, en dat de Bieder zijn Bod gestand doet.

Afwikkeling

Overeenkomstig het Biedingsbericht ontvangen de aandeelhouders van DPA (de "Aandeelhouders") die het Bod hebben aanvaard een contant bedrag van EUR 1,70 (cum dividend) per Aandeel (de "Biedingsprijs") voor elk rechtsgeldig aangemeld Aandeel (of dat gebrekkig is aangemeld, mits de Bieder het gebrekkige aanbod heeft aanvaard) en ter aanvaarding geleverd overeenkomstig het Bod, onder de voorwaarden van het Bod en onder voorbehoud van de daarop toepasselijke beperkingen.

Afwikkeling van het Bod vindt plaats en de Biedingsprijs voor elk rechtsgeldig aangeboden Aandeel wordt voldaan op 30 juli 2021.

Na-aanmeldingstermijn

De Bieder kondigt hierbij aan dat Aandeelhouders die hun Aandelen niet gedurende de Biedingsperiode hebben aangemeld de gelegenheid hebben hun Aandelen alsnog onder dezelfde op het Bod toepasselijke voorwaarden aan te melden gedurende de na- aanmeldingstermijn, die morgen, op 30 juli 2021 om 09.00 uur, begint en eindigt op 13 augustus 2021 om 17.40 uur.

De Bieder doet uiterlijk op de derde werkdag na het einde van de laatste dag van de na-aanmeldingstermijn een openbare mededeling over het totale aantal en het totale percentage van Aandelen dat zij zal houden, overeenkomstig het bepaalde in art. 17, lid 4 van het Besluit. De Bieder blijft alle rechtsgeldig aangemelde Aandelen (of die gebrekkig zijn aangemeld, mits de Bieder de gebrekkige aanmelding heeft aanvaard) gedurende de na-aanmeldingstermijn aanvaarden en zal de voor deze Aandelen verschuldigde bedragen zo spoedig mogelijk en

uiterlijk op de derde werkdag na de laatste dag van de na-aanmeldingstermijn voldoen.

Aandeelhouders hebben niet het recht hun Aandelen gedurende de na-aanmeldingstermijn in te trekken, ongeacht of zijn hun Aandelen gedurende de Biedingsperiode of de na-aanmeldingstermijn rechtsgeldig hebben aangemeld (of gebrekkig aangemeld, mits de Bieder de gebrekkige aanmelding heeft aanvaard).

Overige gevolgen van gestanddoening van het Bod

Resterende Aandeelhouders die hun Aandelen niet gedurende de na-aanmeldingstermijn wensen aan te bieden, worden verzocht de onderdelen van het Biedingsbericht waarin de intenties van de Bieder nader worden omschreven aandachtig door te lezen, waaronder (maar niet beperkt tot) artikel 5.10 (Gevolgen van gestanddoening van het Bod) en artikel 5.11 (Mogelijke maatregelen na aanmelding en toekomstige juridische opzet), waarin bepaalde gevolgen worden omschreven voor die Aandeelhouders indien zij hun aandelen in DPA wensen te behouden. De Bieder kan onder andere besluiten de Activa Verkoop en Liquidatie uit te voeren, zoals nader omschreven in artikel 5.11.3 van het Biedingsbericht. Tijdens de BAVA van 16 juli 2021 heeft 99,5% van de Aandeelhouders vóór het besluit tot de Activa Verkoop en Liquidatie gestemd.

Aandeelhouders worden erop gewezen dat zij in het kader van de Activa Verkoop en Liquidatie een bedrag per Aandeel ontvangen gelijk aan de Biedingsprijs verminderdmet de in Nederland verschuldigde dividendbelasting.

Elke in het Biedingsbericht overwogen mededeling vindt plaats middels een persbericht. Elk persbericht dat uitgaat van de Bieder wordt gepubliceerd op de website www.gembenelux.com. Elk persbericht dat uitgaat van DPA wordt gepubliceerd op de website www.dpa.nl.

Biedingsbericht, Standpuntbepaling en aanvullende informatie

De Bieder doet het Bod onder de in het Biedingsbericht vermelde voorwaarden en beperkingen. DPA heeft daarnaast een Standpuntbepaling beschikbaar gesteld, dat de in art. 18, lid 2 en bijlage G van het Besluit in verband met het Bod voorgeschreven informatie bevat.

De in deze mededeling met betrekking tot het Bod opgenomen informatie is selectief en beknopt van aard en treedt niet in de plaats van het Biedingsbericht en/of de Standpuntbepaling. De in deze mededeling opgenomen informatie is niet volledig; het Biedingsbericht en het Standpuntbepaling bevatten aanvullende informatie.

Aandeelhouders wordt aangeraden het Biedingsbericht en de Standpuntbepaling aandachtig door te lezen en indien noodzakelijk onafhankelijk advies in te winnen teneinde tot een weloverwogen oordeel te komen ten aanzien van het Bod en de inhoud van het Biedingsbericht en de Standpuntbepaling. New Horizons declares Offer for DPA unconditional; transaction can now successfully be concluded

This is a joint press release by DPA Group N.V. ("DPA") and New Horizons Holding B.V. (the "Offeror"), pursuant to the provisions of Section 16 paragraph 1 and 2 and Section 17 paragraph 1 of the Decree on Public Takeover Bids (Besluit openbare biedingen Wft) (the "Decree") in connection with the recommended public offer by the Offeror for all the issued and outstanding ordinary shares (the "Shares" and each a "Share") in the capital of DPA Group N.V. (the "Offer"). The Offeror will upon settlement of the Offer be (indirectly) controlled by Gilde Equity Management (GEM) Benelux Partners B.V. ("Gilde"), TBL Investments B.V. ("TBL") and a foundation incorporated for the purpose of the envisaged (indirect) participation of certain DPA management members in the Offeror (the "STAK"), subject to settlement of

  • Remaining Shares can be tendered during the Post-Acceptance Period, commencing tomorrow, 30 July 2021 at 09:00 (CEST) and ending on 13 August 2021 at 17:40 hours (CEST).

With reference to the joint press releases dated 1 March and 1 June 2021 and the Offer Memorandum, New Horizons Holding B.V. (the Offeror) and DPA are pleased to jointly announce that the Offeror declares the Offer unconditional (doet gestand). The Offeror and DPA intend to procure the delisting of the Shares on Euronext Amsterdam as soon as possible and expect to successfully conclude the transaction during the third quarter of 2021.

Acceptance

During the Offer Period that expired at 17:40 hours (CEST) on 28 July 2021, 34,412,141 Shares have been tendered under the Offer, representing approximately 73.3% of the Shares. Including the 8,684,505 Shares already held by the Offeror on the date hereof, this represents a total of 43,096,646 Shares, equal to approximately 91.8% of the Shares. As a result, all Offer Conditions described in the Offer Memorandum have now been satisfied or waived, and the Offeror declares the Offer unconditional (doet gestand).

Settlement

With reference to the Offer Memorandum, DPA shareholders ("Shareholders") who accepted the Offer shall receive an amount in cash of EUR 1.70 (cum dividend) per Share (the "Offer Price") for each Share validly tendered (or defectively tendered, provided that such defect has been waived by the Offeror) and transferred (geleverd) for acceptance pursuant to the Offer, under the terms and conditions of the Offer and subject to its restrictions.

Settlement of the Offer shall occur and payment of the Offer Price per validly tendered Share shall be made on 30 July 2021.

Post-Acceptance Period

The Offeror hereby announces that Shareholders who have not tendered their Shares during the Offer Period will have the opportunity to tender their Shares under the same terms and conditions applicable to the Offer, during the Post-Acceptance Period (na- aanmeldingstermijn) which will start tomorrow, 30 July 2021, at 09:00 hours (CEST) and end on 13 August 2021 at 17:40 hours (CEST).

The Offeror will publicly announce the results of the Post-Acceptance Period and the total amount and total percentage of Shares held by it in accordance with Section 17, paragraph 4 of the Decree ultimately on the third Business Day following the last day of the Post- Acceptance Period. The Offeror shall continue to accept for payment all Shares validly tendered (or defectively tendered provided that such defect has been waived by the Offeror) during the Post-Acceptance Period and shall pay for such Shares as soon as reasonably possible and in any case no later than on the third Business Day following the last day of the Post-Acceptance Period.

During the Post-Acceptance Period, Shareholders have no right to withdraw Shares from the Offer, regardless of whether their Shares

have been validly tendered (or defectively tendered, provided that such defect has been waived by the Offeror) during the Offer Period or the Post-Acceptance Period.

Further implications of the Offer being declared unconditional

Remaining Shareholders who do not wish to tender their Shares in the Post-Acceptance Period should carefully review the sections of the Offer Memorandum that further explain the intentions of the Offeror, such as (but not limited to) Section 5.10 (Implications of the Offer being declared unconditional) and Section 5.11 (Possible Post-ClosingMeasures and future legal structure), which describe certain implications to which such Shareholders may become subject with their continued shareholding in DPA. The Offeror may inter alia decide to implement the Asset Sale and Liquidation which is described in more detail in Section 5.11.3 of the Offer Memorandum. During the EGM held at 16 July 2021, 99.5% of the Shareholders voted in favour of the Asset Sale and Liquidation Resolutions.

Shareholders are cautioned that in the Asset Sale and Liquidation, they will receive an amount per Share equal to the Offer Price lessDutch dividend withholding tax.

Announcements

Any announcement contemplated by the Offer Memorandum will be issued by press release. Any press release issued by the Offeror will be made available on the website www.gembenelux.com. Any press release issued by DPA will be made available on the website www.dpa.nl.

The Offeror is making the Offer on the terms and subject to the conditions and restrictions contained in the Offer Memorandum. In addition, DPA has made available the Position Statement, containing the information required by Section 18, Paragraph 2 and Annex G of the Decree in connection with the Offer.
